She won't laugh - that usually only happens in movies - you sound like peers in a friendly group. You're covered :)

Even though it's sort of a "made up" holiday/event, this is about as *perfect* of an opp as you'll have! Birthday? Christmas? V-tines day is perfect for an +ask out+

Just make it short, sweet and simple:

"Hey [Chickie], would you like to go out on/for Valentines Day and do something fun?"

(trust me on the stuff _after_ out...it has specific impact :D )

Two possible answers (lots of variants):

"I don't think so/I'm busy/I'm going out with [Dude]"

Easy recovery (and it sounds like you won't need it) - always rebound super positive

"Not a problem, I totally understand! Maybe another time."

...or she says something like:

"Yes!/Maybe, like what?"

So be prepared with a solid answer Grasshopper.

"It thought we would have a good time seeing movie/eating at/having a picnic"

(That's the easy part).

I would definetly go with the picnic xD

+ DT, he might be referring to the more literal meaning of 'asking a girl out,' that is, in terms of gradeschool. It sounds like he's already pretty close to her...
